Further series of Integer.pl Group bonds to debut on CATALYST

 

On 12 February, another series of Integer.pl Group bonds - the three-year INT1217 series bonds and the five-year INT1219 series bonds - will debut in the alternative trading system CATALYST. The bonds of both series were issued as unsecured in December 2014. The bonds - with a total nominal value of PLN 30 million - bear interest at a variable rate of WIBOR 6M, plus a margin. The interest rate will be paid every 6 months. Integer.pl S.A. made its debut on Catalyst on 24 July 2014. Together with the current series of bonds, bonds with a total nominal value of PLN 120 million will be traded.

The INT1217 series and INT1219 series bonds were issued at an issue price equal to the nominal value. The maturity date for the INT1217 series bonds was set at 12.12.2017 and for the INT1219 series at 12.12.2019.

Funding for easyPack's development in Europe is secured through capital contributions from PineBridge and Integer.pl. We have 1,800 machines in stock ready to be installed for the Italian project, the French project and the UK complement. On the other hand, we are developing activities in countries outside Europe with our own resources. This includes, for example: Canada, the Arab Emirates or Malaysia. They too will be included in the easyPack project in the future, as we will bring the assets we financed into this company. This gives us the option to maintain a majority stake in the company, which is our main objective." - says Rafał Brzoska, CEO of Integer.pl S.A. Group.

In 2014, Integer.pl S.A. made two other bond issues, which were also listed on the Catalyst market after allocation. In July 2014, 30,000 bearer bonds of series INT0617 were introduced to the alternative trading system with a total nominal value of PLN 30 million. In turn, 60,000 bearer bonds of the INT0918 series with a total nominal value of PLN 60 million were floated on the Catalyst market in December 2014.

Integer.pl Group generated after 3 quarters of 2014 consolidated sales revenue of PLN 436.73 million, an increase of 82% year-on-year. Consolidated EBITDA amounted to PLN 21.66 million. Net profit attributable to shareholders of the parent company reached PLN 9.49 million.

The Integer.pl Group is developing intensively in 3 main areas:

  • InPost parcel machines

- There are 1,100 Paczkomat® InPost machines operating in Poland, which will be systematically expanded in terms of capacity. In addition, InPost has concluded Agreement with Allegro on strategic cooperation in the delivery of products ordered online. Now, in the shipping options, any e-tailer can add new options: Allegro Paczkomaty® InPost (PLN 7.99) i Allegro Polecony InPost (3,94 zł). It is cheapest form of delivery available - for both registered mail and parcels. In each of these options, customers have guaranteed free return of purchased goods. In addition to Allegro, consumers buying from all online shops also have the opportunity to free replacement goods or returns via parcel machines® InPost and service QuickZwroty.co.uk . All InPost parcel machines are equipped with payment card readers, part also supports contactless payments - Ultimately, this functionality will be introduced in all devices.
- The world operates - in a variety of business models - a more than 3,500 Parcel Machines® InPost. Innovative terminals of the Integer.pl Group are available on five continents. The construction of InPost's own network of Parcel Machines® worldwide is being carried out by the company easyPack in cooperation with PineBridge Investments and includes the launch of 12 - 16,000 machines in Europe by the end of 2016. EasyPack continues dynamic expansion of InPost's Parcel Machines® - terminal network has significantly increased its reach into key European e-commerce markets, Among others, in the UK and Italy. Integer.pl Group has also intensified its activities on other continents, starting to install equipment in: Asia, the Middle East and North America.

  • InPost - postal services

The largest private postal operator in Poland - at the end of Q3 2014 carried out contracts for the handling of correspondence for as many as 2,600 companies in Poland, both public institutions and private companies. This represents an increase of 20% since the beginning of the year.

In December 2014, InPost - the largest private postal operator in Poland - finalised the acquisition of 100% of the shares in Polska Grupa Pocztowa SA. The companies have integrated their operational structures and the formal acquisition of shares was the final step in the PGP acquisition process. This will increase InPost's potential for mail handling, including public contracts. However, PGP will remain a separate company and a brand dedicated to the business customer requiring advanced postal services.

InPost has recently won tenders to handle correspondence Government Shared Services Centre, worth PLN 33 million, and KRUS, valued at almost PLN 23 million. In addition, InPost, together with PGP, has been handling the correspondence of common courts and public prosecutors' offices for the past year. The two-year contract is worth almost PLN 500 million and covers 100 million shipments.

InPost and PGP offer attractive prices for postal services - even 40% lower than the competition - and the highest delivery effectiveness in the market - as much as 75% of registered mail is delivered directly to the addressee (without an advice note). The companies also record a higher punctuality of registered mail delivery than the designated operator - 92% for D+3 letters and 97.5% for D+5 letters.

InPost has a network of more than 8,300 customer service points throughout Poland, of which 76% are also open on Saturdays and 8% on Sundays. Every day, more than 10,000 delivery men deliver mail to the doors of residents all over Poland. Addressees and senders can follow the route of letters on inpost.pl. In 2013, the number of parcels handled by InPost was around 240 million pieces, while in 2014 it was 300 million pieces. Letters and parcels delivered by InPost are sequenced in a state-of-the-art 10,000 m2 sorting facility, which handles up to 1.2 million parcels per day thanks to ultra-modern sorters.

  • InPost Finance

InPost Finanse operates on the basis of a licence from the Financial Supervision Commission to operate as a national payment institution. The company has a broad product offering in the areas of insurance, money transfer delivery or mobile payments. The company handles more than 100,000 remittances a month, e.g. to the Agricultural Social Insurance Fund (KRUS), City Councils or MOPS. In addition, InPost Finanse is launching cash points at tax offices.

InPost Finance - in Q4 2014 -. has once again significantly extended the reach of remittance advances. Thanks to a partnership agreement with PKO Bank Polski transfers delivered by the operator are advised to almost 2,300 new outlets located in own branches and agency branches of Poland's largest bank throughout the country.

In the first quarter of 2015, InPost Finance, together with InPost, introduced the following to its offering financial and logistical solution, whereby delivery of the contract and cash withdrawal, will be provided as a single service. "The Plus Cash Contract is a development of the popular Smart Courier method, under which courier delivers the contract to the recipient and returns the signed version to the sender. The service has the potential to significantly expand the range of banks and financial institutions, enabling them to uniquely a convenient way to deliver, among other things, loans and cash loans.

In the insurance segment, InPost Finanse operates in partnership with leading market players, including: Generali T.U., LINK4, Liberty Ubezpieczenia and Towarzystwo Ubezpieczeń Wzajemajemnych. The company - on a large scale - also provides billing and transaction process outsourcing. In this respect, it provides services such as Poland's largest telecoms.
